These Terms of Service (the “Terms”) govern your access to and use of https://influencerviet.com, IMVN Creator Network accounts, creator profiles, Creator Opportunities, application features, partner or Opportunity Manager tools, and related services made available by IMVN (collectively, the “Services”).

In these Terms, “IMVN,” “we,” “us,” or “our” means INFLUENCER ACADEMY COMPANY LIMITED, enterprise and tax code 0315410521, established on 27 November 2018, operating under the IMVN name. “You” means the individual or organisation accessing or using the Services, including a visitor, creator, talent representative, brand, agency, partner, or Opportunity Manager.

By accessing the Services, creating an account, submitting information, applying to an opportunity, or otherwise using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

IMVN’s registered office is located at L17-11, 17th Floor, Vincom Center Building, 72 Le Thanh Ton Street, Sai Gon Ward, Ho Chi Minh City, Vietnam. IMVN also maintains representative offices and operational presence in Bangkok, Thailand; Jakarta, Indonesia; and Manila, the Philippines through affiliated companies within its business ecosystem. Unless a campaign-specific written agreement expressly states otherwise, those representative offices and affiliated entities are not the contracting party under these Terms.

1. Scope of the Services

IMVN provides influencer marketing, creator discovery, creator verification, cross-market campaign support, opportunity publishing, application management, and related business services.

The Services may allow users to:

  • register and manage an account;
  • create or maintain a creator profile;
  • submit social channel, audience, portfolio, rate, availability, family or category-matching information;
  • request creator verification;
  • view and apply to Creator Opportunities;
  • create and submit opportunities for IMVN review where partner tools are enabled;
  • communicate with IMVN about campaigns, partnerships, payments, or support; and
  • access other features introduced by IMVN from time to time.

Information on the website is provided for general information, discovery, evaluation, and workflow purposes. Unless IMVN expressly confirms otherwise in writing, a listing, message, profile, application, shortlist, verification badge, estimate, or website interaction is not by itself a binding campaign contract, offer, guarantee of work, guarantee of selection, or guarantee of payment.

2. Eligibility and authority

You may use the Services only if:

  • you are at least 18 years old, or have reached the age at which you may lawfully enter into these Terms in your place of residence;
  • you have the legal capacity and authority to accept these Terms;
  • the information you provide is accurate and not misleading; and
  • your use of the Services is permitted by applicable law.

If you are below the legal age required to enter into a contract, you may participate only through, or with the verifiable authorisation of, a parent, legal guardian, authorised representative, or management entity permitted to act for you.

If you use the Services on behalf of a company, agency, brand, creator, or other organisation, you confirm that you are authorised to bind that organisation and provide the information you submit.

3. Accounts and account security

You are responsible for:

  • providing complete and current registration information;
  • maintaining the confidentiality of your password and account credentials;
  • restricting access to your account, devices, and email address;
  • promptly updating inaccurate or outdated information; and
  • notifying IMVN at [email protected] if you suspect unauthorised access, credential loss, impersonation, or misuse.

You may not sell, transfer, share, or rent your account, create an account for another person without authority, or use multiple accounts to bypass a restriction, verification decision, application limit, or enforcement action.

IMVN may require identity, channel ownership, authority, contact, tax, invoicing, or payment verification when reasonably necessary for security, fraud prevention, campaign performance, payment, or legal compliance.

4. Creator profiles and submitted information

Creators are responsible for ensuring that profile information is accurate, supportable, and kept reasonably current. This includes social account ownership, audience size, audience geography, engagement information, portfolio items, rate information, languages, location, availability, campaign history, family or category-matching information, and payment details.

You must not:

  • claim ownership or control of a social account you do not control;
  • materially misstate followers, engagement, audience demographics, past performance, identity, age, location, experience, or availability;
  • submit purchased, manipulated, fraudulent, or artificially inflated metrics as genuine performance;
  • upload content, documents, images, or personal information that you are not authorised to provide; or
  • include unnecessary sensitive or confidential information in a public profile or application.

Family information, children’s age ranges, payout information, and similar fields are optional unless a specific campaign or lawful payment process requires them. Family information is intended only for relevant creator matching. Payout information is intended only for authorised payment and operational purposes and is handled in accordance with the Privacy Policy.

5. Creator verification

Verification is an IMVN review process that may consider identity, contact information, channel ownership, profile completeness, content quality, audience indicators, authenticity, professional conduct, and other relevant factors.

Verification:

  • is not automatic and remains subject to IMVN review;
  • does not guarantee selection, income, campaign volume, performance, brand approval, or continued access;
  • does not constitute an endorsement of every statement, metric, product, service, or item of content associated with a creator;
  • may require additional evidence or corrections; and
  • may be suspended, expired, withdrawn, or reviewed again if information becomes inaccurate, circumstances change, or these Terms are breached.

You may not misrepresent the scope of IMVN verification or use an IMVN badge, name, logo, or verification status outside the permissions provided by IMVN.

6. Creator Opportunities

Opportunities may be made available as Public, Verified-only, invitation-based, or otherwise restricted. Eligibility to view an opportunity does not guarantee eligibility to participate.

Opportunity information may include deliverables, platforms, target markets, campaign dates, application deadlines, available slots, compensation type, estimated or fixed compensation, benefits, self-paid costs, travel requirements, usage rights, exclusivity, payout deadlines, or other conditions.

Creators must review the complete opportunity details before applying. If website information is incomplete, inconsistent, or unclear, the creator should request clarification before accepting work or incurring cost.

IMVN may edit, pause, close, extend, withdraw, or decline to publish an opportunity where reasonably necessary for accuracy, compliance, client instruction, capacity, safety, campaign changes, or platform operation.

7. Applications, shortlisting, and acceptance

Submitting an application expresses interest only. It does not create an employment relationship, service contract, partnership, agency, exclusivity commitment, or right to compensation.

IMVN or the relevant campaign party may review, shortlist, waitlist, accept, reject, or request more information from an applicant. Selection criteria may vary by campaign and may include audience fit, content style, location, schedule, brand safety, budget, prior performance, or client preference.

A creator must not begin work, publish content, make a purchase, book travel, or incur non-refundable cost unless the relevant requirements, compensation, approvals, and reimbursement arrangements have been confirmed in writing by an authorised party.

A binding campaign commitment arises only when the applicable parties issue and accept a separate written campaign agreement, booking confirmation, statement of work, insertion order, email confirmation, or equivalent record containing the material campaign terms.

8. Campaign terms and order of priority

Each campaign may have additional terms covering deliverables, deadlines, review rounds, content approval, disclosure, exclusivity, cancellation, compensation, tax, invoices, expenses, travel, product handling, licensing, reporting, confidentiality, or brand safety.

If campaign-specific written terms conflict with these Terms, the campaign-specific written terms control for that campaign, while these Terms continue to govern general use of the Services.

Verbal discussions, draft briefs, indicative budgets, website examples, or informal messages do not override confirmed written campaign terms.

9. Creator obligations for campaign content

Where selected for a campaign, a creator must:

  • follow the confirmed brief, deliverables, deadlines, platform specifications, and approval process;
  • create original content or hold all permissions needed for music, footage, images, locations, people, trademarks, and other third-party material;
  • make advertising, sponsorship, gifted-product, affiliate, or commercial disclosures required by applicable law and platform rules;
  • avoid false, misleading, unsubstantiated, defamatory, discriminatory, illegal, dangerous, or infringing claims;
  • obtain consent from identifiable individuals where required;
  • protect confidential campaign and brand information;
  • retain reasonable evidence of posting and performance where reporting is required; and
  • promptly disclose a conflict, delay, mistake, takedown, platform restriction, safety issue, or other circumstance that may affect delivery.

Creators must not publish unapproved confidential information or imply that personal opinions are statements made by IMVN or a brand.

10. Content ownership and licences

As between you and IMVN, you retain ownership of content and materials you own before submitting them to the Services.

By adding profile information, a profile image, portfolio item, social link, or other material that you choose to make public through the Services, you grant IMVN a non-exclusive, worldwide, royalty-free licence, for as long as the material remains submitted or as reasonably necessary for recordkeeping, to host, store, reproduce, format, and display that material solely to operate the Services, present your profile, perform verification, facilitate matching, and communicate relevant opportunities.

This general platform licence does not give IMVN or a brand the right to use creator campaign content in paid advertising, whitelisting, boosting, media buying, resale, sublicensing, perpetual use, or a commercial content library unless those rights are separately agreed in writing.

Campaign-specific usage rights must state, where relevant:

  • the content covered;
  • permitted media and channels;
  • organic or paid use;
  • territory;
  • duration;
  • editing, adaptation, translation, or derivative rights;
  • whitelisting or account-access permissions;
  • exclusivity;
  • sublicensing or transfer rights; and
  • any additional licensing fee or buyout.

You represent that you have the rights needed to grant every licence you agree to grant.

11. IMVN intellectual property

The Services, website design, software, workflows, text, graphics, databases, trademarks, trade names, logos, and other IMVN materials are owned by or licensed to IMVN and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, scrape, reproduce, modify, distribute, sell, sublicense, reverse engineer, frame, mirror, or create derivative services from IMVN materials or non-public Service data.

No right to use the IMVN name, logo, verification badge, visual identity, client materials, or partner assets is granted except through written permission or an approved feature of the Services.

12. Compensation, benefits, tax, and payment

Joining the Creator Network, requesting verification, and applying to opportunities are currently free for creators unless IMVN clearly discloses and you separately accept a paid service.

Campaign compensation may include a fixed fee, performance-based payment, barter, product or service exchange, discount, travel benefit, hybrid arrangement, or another disclosed form. The applicable listing and campaign-specific written terms determine the compensation for each engagement.

Unless campaign-specific written terms provide otherwise:

  • payment becomes processable only after required deliverables are completed and accepted, and valid invoicing, tax, banking, identity, or payment information has been received;
  • the payout deadline shown in the confirmed opportunity or campaign agreement begins only after those conditions are satisfied;
  • bank, payment-provider, currency-conversion, intermediary, or recipient-account delays outside the paying party’s reasonable control may affect the final receipt date;
  • each party is responsible for its own taxes, declarations, registrations, and professional advice, except where withholding or reporting is required by law; and
  • creators must provide accurate payment information and promptly report a suspected payment error.

Creators must not incur self-paid expenses unless the listing or written campaign terms clearly explain who bears the cost and whether reimbursement is available. Barter value, product value, discounts, travel benefits, or service exchanges are not cash unless expressly stated.

IMVN may use a local entity, client, agency, authorised payment provider, or another disclosed party to process payment. The responsible payer should be identified in the campaign-specific written terms where material.

13. Opportunity Managers and partner tools

Where IMVN grants Opportunity Manager or partner access, that access is limited to the permissions assigned to the account.

An Opportunity Manager must:

  • create and edit only opportunities they own or are expressly authorised to manage;
  • provide accurate, lawful, and supportable information;
  • have authority to provide any brand name, logo, brief, campaign asset, compensation term, or client instruction submitted;
  • respect creator confidentiality and personal information;
  • avoid requesting unnecessary sensitive information; and
  • submit opportunities for IMVN review before publication where review is required.

Opportunity Manager access does not automatically include access to creator applications, payout information, private creator data, or another partner’s opportunities. IMVN may review, edit for formatting or safety, reject, unpublish, or request changes to a submitted opportunity.

14. Confidentiality

Non-public brand identities, briefs, budgets, compensation, campaign plans, unreleased products, creator information, applications, shortlists, business terms, login details, and materials marked or reasonably understood as confidential must be protected and used only for the relevant evaluation or campaign.

You may disclose confidential information only to people who need it for the authorised purpose and are bound to protect it, or where disclosure is required by law. If legally permitted, you should notify the disclosing party before a compelled disclosure.

Confidentiality does not apply to information that you can demonstrate was already lawfully known to you without restriction, becomes public without your breach, is independently developed without use of confidential information, or is lawfully received from another source without a duty of confidence.

15. Prohibited conduct

You must not:

  • violate applicable law, regulation, court order, platform rule, or another person’s rights;
  • impersonate another person or misrepresent authority, identity, verification, affiliation, metrics, or campaign status;
  • access or attempt to access another user’s account, application, opportunity, payout information, or non-public data;
  • bypass verification, role, eligibility, geographic, confidentiality, or access controls;
  • scrape, harvest, sell, or misuse creator, partner, application, or contact data;
  • distribute malware, exploit vulnerabilities, disrupt the Services, automate abusive requests, or overload a form, webhook, account, or system;
  • spam, harass, threaten, discriminate against, exploit, or deceive another user;
  • disclose a gated brand identity, compensation term, brief, or other confidential information without authority;
  • manipulate applications, slots, referral data, performance, evidence, or payment records; or
  • use the Services for unlawful recruitment, pyramid selling, prohibited goods or services, or other activity that may expose users or IMVN to material harm.

16. Privacy and personal information

Our collection and use of personal information is described in the Privacy Policy, which forms part of the framework governing the Services.

You are responsible for ensuring that you have authority and an appropriate legal basis to provide personal information about another person. Do not submit identity documents, children’s information, financial details, health information, precise location, or other sensitive information unless it is necessary, requested through an appropriate channel, and permitted by law.

If you receive personal information through an authorised IMVN workflow, you may use it only for the purpose for which access was granted, keep it secure, restrict access, and delete or return it when it is no longer needed or when instructed.

17. Third-party services and links

The Services may interact with third-party hosting, authentication, social media, analytics, form-processing, workflow automation, communications, payment, cloud, or other service providers.

Third-party services are governed by their own terms and privacy policies. IMVN does not control and is not responsible for the availability, content, security, acts, omissions, or policies of a third-party service, except to the extent responsibility cannot lawfully be excluded.

You are responsible for reviewing third-party terms before connecting an account, following an external link, or using an external platform.

18. Suspension and termination

You may stop using the Services at any time and may request account closure through [email protected], subject to records that IMVN may lawfully retain under the Privacy Policy or applicable obligations.

IMVN may restrict, suspend, or terminate access; remove content; pause an application; or withdraw verification where reasonably necessary because of:

  • a material or repeated breach of these Terms or campaign-specific terms;
  • fraud, impersonation, manipulated metrics, abuse, or security risk;
  • unlawful, unsafe, infringing, or seriously misleading content or conduct;
  • failure to provide reasonably required verification information;
  • a client, platform, legal, regulatory, or safety requirement;
  • non-performance or serious professional misconduct affecting a campaign; or
  • discontinuation or material change of a Service.

Where appropriate and lawful, IMVN may provide notice and an opportunity to respond or correct the issue. Immediate action may be taken where needed to protect users, confidential information, systems, legal compliance, or an active campaign.

Provisions concerning confidentiality, intellectual property, payment obligations already incurred, liability, disputes, records, and other terms that by their nature should survive will continue after termination.

19. Service availability and changes

IMVN may update, improve, replace, suspend, or discontinue part of the Services. We aim to keep the Services accurate and available but do not guarantee uninterrupted access, error-free operation, continuous availability of any opportunity, or compatibility with every device, browser, plugin, social platform, or third-party service.

We may perform maintenance, security updates, migrations, or emergency changes without advance notice where reasonably necessary.

20. Disclaimers

To the extent permitted by applicable law, the Services are provided on an “as available” basis. IMVN does not guarantee:

  • that a creator will be verified, selected, paid a particular amount, or receive a minimum number of opportunities;
  • that a brand, partner, creator, or third party will perform every promise unless IMVN is expressly the responsible contracting party under separate written terms;
  • the accuracy of every user-submitted profile, metric, portfolio item, listing, or external link;
  • specific campaign, audience, revenue, conversion, or business results; or
  • continuous operation of a social platform, payment provider, automation, integration, or third-party service.

Nothing in these Terms excludes a right, remedy, warranty, duty, or liability that cannot lawfully be excluded or limited.

21. Limitation of liability

To the extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, or consequential loss, or for loss of profit, revenue, opportunity, goodwill, or data, arising solely from general use of the Services, where such loss was not reasonably foreseeable.

Any campaign-specific liability allocation, service level, refund, cancellation fee, indemnity, or cap must be stated in the applicable campaign or commercial agreement.

Nothing in these Terms limits or excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality or intellectual property obligations where exclusion is not permitted, failure to pay an undisputed amount already due, violation of personal data obligations, or any other liability that cannot lawfully be limited.

22. Governing law and disputes

These Terms are governed by the laws of Vietnam, without prejudice to any mandatory rights that apply under the laws of your place of residence.

Before starting formal proceedings, you and IMVN agree to make a reasonable good-faith effort to resolve the dispute through written notice and discussion. A notice should describe the issue, relevant transaction or account, supporting information, and the requested resolution.

If the dispute is not resolved within 30 days after receipt of a complete written notice, it will be submitted to the competent courts of Vietnam, unless mandatory law requires another forum.

Campaign-specific agreements may provide a different governing law or dispute mechanism for that campaign.

23. Changes to these Terms

IMVN may update these Terms to reflect changes in the Services, law, security requirements, business operations, or user protections.

The revised Terms will be published on this page with an updated “Last updated” date. Where a change materially affects existing account rights or obligations, IMVN may provide additional notice through the website, account, or email where appropriate.

Continued use after the effective date of revised Terms constitutes acceptance where permitted by law. If you do not agree to a material change, you should stop using the affected Services and may request account closure.

24. General terms

These Terms, the Privacy Policy, and any applicable campaign-specific written terms form the agreement relevant to your use of the Services.

If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the affected provision will be interpreted as closely as lawfully possible to its intended purpose.

A failure or delay in enforcing a provision is not a waiver. You may not assign or transfer your rights or obligations under these Terms without IMVN’s written consent, except where mandatory law provides otherwise. IMVN may assign these Terms as part of a merger, restructuring, financing, sale of business, or transfer of the relevant Services, subject to applicable law and notice requirements.

Electronic acceptance, account records, emails, application records, and other electronic communications may be used as evidence of the relevant transaction or consent to the extent permitted by law.

Headings are for convenience only. “Including” means “including without limitation.”
